1. Introduction

These Terms and Conditions (“T&Cs”) govern the provision of services by Appolica Ltd. (“Appolica,” “we,” “us,” or “our”) to the customer (“you” or “your”). By using our services, you agree to comply with these T&Cs.

If you do not agree with (or cannot comply with) Agreements, then you may not use the Service, but please let us know by emailing at info@appolica.com, so we can try to find a solution. These Terms apply to all visitors, users and others who wish to access or use the Service.

2. Communications

By using our Services, you agree to subscribe to newsletters, marketing or promotional materials and other information we may send. However, you may opt out of receiving any, or all, of these communications from us by following the unsubscribe link or by emailing at info@appolica.com.

3. Services

3.1 Scope of services
Appolica provides technology consultancy, development services, and related support. Specific details of the services, including scope, deliverables, timelines, and pricing, will be outlined in separate agreements or service orders executed between Appolica and you.

3.2 Modifications
We reserve the right to make changes to the services as necessary to comply with applicable law or reflect updates in the scope of the services. Any significant modifications will be communicated to you, and your continued use of the services will constitute acceptance of those changes.

4. Customer obligations

4.1 Access and cooperation
You agree to provide all necessary access to your personnel, systems, and facilities as required for us to deliver the services. You will also provide all necessary cooperation, information, and support to allow us to perform the services.

4.2 Compliance
You agree to comply with all applicable laws and regulations in connection with your use of the services. This includes ensuring that you have obtained any necessary consents or authorizations for us to process personal data on your behalf.

5. Intelectual property

5.1 Appolica's intelectual property
All intellectual property rights, including copyrights, trademarks, and patents, in the services provided by Appolica remain the exclusive property of Appolica. You are granted a limited, non-exclusive, non-transferable license to use the deliverables solely for your internal purposes.

5.2 Customer's intelectual property
You retain all rights in any data, content, or materials you provide to us in connection with the services. You grant Appolica a limited license to use such materials solely for the purpose of delivering the services.

6. Confidentiality

6.1 Definition
“Confidential Information” means any non-public information disclosed by one party (“Disclosing Party”) to the other party (“Receiving Party”) that is marked as confidential or would reasonably be considered confidential under the circumstances.

6.2 Obligations
The Receiving Party agrees to keep Confidential Information confidential and to use it only for the purpose of performing its obligations under these T&Cs. The Receiving Party will take reasonable measures to protect the confidentiality of the Disclosing Party’s Confidential Information.

7. Data protection

7.1 GDPR compaliance
Both parties agree to comply with the General Data Protection Regulation (GDPR) and any other applicable data protection legislation in connection with the processing of personal data. If Appolica processes personal data on your behalf, we will do so in accordance with a data processing agreement that meets the requirements of Article 28 of the GDPR.

7.2 Data security
We will implement appropriate technical and organizational measures to ensure the security of your personal data. However, you are responsible for ensuring that any data you provide is processed in compliance with applicable data protection laws.

8. Limitation of liability

8.1 Exclusion of consequential damages
To the maximum extent permitted by law, Appolica will not be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with the services or these T&Cs, including loss of profits, revenue, or data, even if we have been advised of the possibility of such damages.

8.2 Limitation on direct damages
Appolica’s total liability for any claims arising out of or in connection with the services or these T&Cs will be limited to the total fees paid by you for the services in the twelve (12) months preceding the event giving rise to the claim.

9. Term and termination

9.1 Term
These T&Cs will remain in effect for as long as we are providing services to you, unless otherwise specified in a separate agreement or service order.

9.2 Termination for cause
Either party may terminate these T&Cs or any related agreement for cause if the other party breaches a material obligation and fails to cure such breach within thirty (30) days of receiving written notice.

9.3 Effect of termination
Upon termination, all outstanding fees for services rendered will become immediately due and payable. The confidentiality obligations and limitations of liability outlined in these T&Cs will survive termination.

10. Governing law and dispute resolution


10.1 Governing law
These T&Cs are governed by and construed in accordance with the laws of Bulgaria, without regard to its conflict of law principles.

10.2 Dispute resolution
Any disputes arising out of or in connection with these T&Cs will be settled amicably between the parties. If the parties are unable to resolve the dispute through good-faith negotiations, the dispute will be submitted to the exclusive jurisdiction of the courts in Sofia, Bulgaria.

11. Miscellaneous

11.1 Force majeure
Neither party will be liable for any delay or failure to perform its obligations under these T&Cs due to events beyond its reasonable control, including acts of God, war, terrorism, natural disasters, labor disputes, or government regulations.

11.2 Assignment
You may not assign or transfer your rights or obligations under these T&Cs without the prior written consent of Appolica. We may assign or transfer these T&Cs in the event of a merger, acquisition, or sale of all or substantially all of our assets.

11.3 Entire agreement
These T&Cs, together with any applicable agreements or service orders, constitute the entire agreement between the parties and supersede all prior agreements and understandings, whether written or oral, relating to the subject matter hereof.

11.4 Amendments
Any amendments or modifications to these T&Cs must be in writing and agreed upon by both parties.
